Article I

Name and Object of The Institute:

Section One. Name. This organization shall be known as the Institute for Adult Jewish Studies hereinafter called The Institute.

Section Two. Non-Profit. The Institute is a non-profit organization. All monies received from both dues and tuition shall be used to support the Sessions as defined by Article III herein.

Section Three. Objects and Purposes. The objects and purposes of The Institute shall be:

a. to provide, as an extension of the Adult Education functions of its sponsoring synagogues, classes and lectures on topics relating to Judaism and Jewish Culture;

b. to promote Judaism, without regard to movement (Conservative, Orthodox, Reform, Reconstruction, etc.) except as noted below in Article II, section 1;

c. to provide education on Israel without participating in partisan Israeli politics;

d. to promote general Jewish community spirit;

e. generally, to take such action as may be deemed useful or desirable concerning Judaism in the community, or the amelioration of conditions deemed detrimental or objectionable to Jewish life.

Article II


Section One. Sponsors.

a. Any synagogue within the geographic area served by The Institute may become a sponsor upon a simple majority vote of the current sponsors. Under no circumstances shall a synagogue professing the tenets of Messianic Judaism be allowed to become a sponsor.

b. Any sponsor may provide clergy or other qualified individuals to teach classes for The Institute.

Section Two. Voting Rights. The representatives of all sponsoring synagogues in good standing shall be eligible to vote on any matter that may properly come before the Advisory Board at any meeting thereof.

Section Three. Dues. The annual dues shall be fixed by the Advisory Board and may be amended, from time to time, as the Advisory Board may deem appropriate. The payment of the annual dues, by a sponsor of The Institute, shall entitle the Sponsor full membership in The Institute.

Section Four. The privilege of voting shall be limited to those sponsors of The Institute who have been certified by the Financial Secretary to be in good standing, which shall be defined as being fully paid up in dues at the time of any such vote, or no more than two months in arrears.

Section Five. Definition of Geographic Area. The geographic areas served by The Institute include, but are not limited to of Bethpage, Hicksville, Jericho, Muttontown, Oyster Bay, Plainview, Syosset, and Westbury in the town of Oyster Bay, County of Nassau, State of New York.

Article III


Section One. Classes. The Institute shall offer classes to the general public in accordance with the purposes of The Institute as defined in Article I, Section Two herein. Volunteer clergy, other qualified volunteers, or qualified individuals to whom the Institute may choose to pay a stipend, may teach these classes;

Section Two. Lectures. The Institute shall hire qualified individuals to provide learned lectures in conjunction with classes as above;

Section Three. Entertainment. The Institute may hire entertainers to provide entertainment that has Judaic content such as Klezmer bands, Yiddish singers or storytellers, Jewish character improvisations, etc.

Section Four. Publicity. The Institute may publish brochures, run advertisements, etc. in support of the Sessions as defined in Sections One, Two, and three above.

Article IV


Section One. Advisory Board. The general management of the affairs of The Institute shall be vested in the Advisory Board, who shall be appointed by the presidents of the sponsoring synagogues. Each synagogue may appoint up to four representatives to the Advisory Board.

Section Two. Officers. There shall be (4) four officers of the association consisting of: Director, Financial Secretary, Secretary, and Treasurer. Officers shall serve at the pleasure of the Advisory Board and shall be elected by simple majority vote.

Section Three. Term of Office. Each Officer shall be elected for one full academic year. Officers may serve for any number of years if re-elected by the Advisory Board for each of those years.

Section Four. Duties of Officers.

a. Director– the Director shall preside at all meetings of the Advisory Board. He/she shall have the power, subject to approval of the Advisory Board, to fill any vacancies that may occur among other officers. The Director may assign specific duties to any officers and Advisory Board member, and establish specific committees, as he/she may deem necessary. The Director shall have the right to participate at all meetings of the Advisory Board as any other advisor, and shall be entitled to vote on all issues. The President may establish committees and appoint chairpersons to review and act upon specific matters of interest to The Institute; the chairpersons and committee members need not be Advisory Board members.

b. Secretary – the Secretary shall keep an accurate and orderly record of the proceedings, by way of minutes. In addition, the Secretary shall be responsible for communications to the Board Members and provide assistance for other communications outside of the Board, as well as arranging to have all notices prepared and distributed. The Secretary shall also maintain a file of all incoming and outgoing correspondence.

c. Treasurer – the Treasurer shall receive and disburse all monies and shall be responsible for keeping and maintaining accurate books and records of account, including checking and savings accounts. The Treasurer shall prepare and report upon the financial status of the Association, at any meeting at which such report is requested by the Director.

d. Financial Secretary – The Financial Secretary shall at all times keep a complete role of sponsors of the Association, which shall indicate the dues status of all sponsors; shall collect and transfer all funds to the Treasurer and shall keep records of membership receivables.

e. Check Writing – In general, the Treasurer and one other Officer or Advisory Board member shall be required to sign any and all checks and withdrawal slips of The Institute in excess of $100 or for reimbursements to Advisory Board members. In absence of the Treasurer, any two Officers or Advisory Board members may sign such checks.

f. Remuneration – All Advisory Board members and Officers shall be unpaid volunteers. Advisory Board members and Officers may be reimbursed for out-of-pocket expenses associated with Sessions and or Sessions publicity.

Article V


Section One. The Advisory Board shall hold periodic meetings to organize and plan Sessions as defined in Article III herein.

Section Two. Quorum for Advisory Board meeting. At all meetings of the Advisory Board, a simple majority of the members in good standing must be present in person, so as to constitute a quorum for the transaction of any business that would require Advisory Board approval.

Section Three. Lack of Quorum. If a quorum is not present at a meeting of the Advisory Board, the presiding officer may either adjourn the meeting to a day and hour then to be fixed or may query the entire Advisory Board by email to resolve any issue then before the Advisory Board.

Section Four. Voting at meetings of the Advisory Board. A simple majority of those Advisors present and voting shall be required in order to decide any issue which might be deemed necessary to be voted upon.

Article VI

Election of Officers:

Section One. Election of Officers. The Officers of The Institute shall be elected at the first meeting of each academic year, usually held in February. The Officers shall be elected by plurality; those receiving the most number of votes cast shall be elected.

Article VII

Vacancies in Office:

Section One. If a vacancy occurs among the Officers of The Institute, other than the Director, said vacancy shall be filled for the unexpired term by appointment made by the Director and approved by the Board.

Section Two. If the office of Director becomes vacant, said vacancy shall be filled for the unexpired term by appointment made by a plurality of the remaining Officers and approved by the Advisory Board.

Article VIII


Section One. The Advisory Board of will consider suggested amendments of these Bylaws, upon receiving a petition signed by at least 3 sponsoring synagogues in good standing. This petition shall be presented at any regular meeting of the Advisory Board and shall be voted upon at the next regular meeting of the Advisory Board, subsequent to the presentation of the petition. A simple majority vote of the Advisors Board shall be required in order to enact any amendments.

Article IX

General Provisions:

Section One. Removal of Officers/Advisors. Any Officer or Advisory Board member may be removed, for cause, from his/her office by three-quarters vote of those present at any Advisory Board meeting. Upon removal of such officer, the Director, with the consent of the majority of the Advisory Board, shall appoint a replacement.

Section Two. Annual Dues. The annual dues, as determined by the Advisory Board, shall be paid by all sponsors on or before the Jewish holiday of Simchat Torah of each year, and received by the Financial Secretary.

Section Three. Tuition. The Institute may charge tuition for classes and/or fees for attendance of lectures. The Institute may offer tuition and/or fee discounts to members of sponsoring synagogues.

Section Four. Actions by The Institute. The Institute, acting through its Advisory Board, shall not act, on any matter, nor endorse any position or proposition, unless authorized to do so, by majority vote of the Advisory Board. The Advisory Board may not endorse candidates for election to public office.

Section Five. Fiscal Year. The fiscal year of the Association shall start on July 1st and end on June 30th of each year.
